1. DEFINITIONS

  • "Platform” means OilGasFreelancers.com, its owners, operators, affiliates, directors, officers, employees, and agents.

  • "User” means any individual or entity accessing or using the Platform, including Employers and Freelancers.

  • "Employer” means any User posting projects or engaging Freelancers.

  • "Freelancer” means any User offering services or submitting bids.

  • "Content” means all data, files, documents, messages, submissions, deliverables, and communications exchanged on or through the Platform.

  • "Confidential Information” means any non-public, proprietary, technical, commercial, operational, geological, geophysical, reservoir, financial, or business information.

2. ACCEPTANCE OF TERMS

By accessing or using OilGasFreelancers.com, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions ("Terms”).
If you do not agree, you must immediately cease using the Platform.

3. PLATFORM ROLE – NO AGENCY, NO PROFESSIONAL SERVICES

OilGasFreelancers.com is a neutral online marketplace only.

The Platform:

  • Is NOT an employer, contractor, consultant, engineer, advisor, agent, broker, or representative.

  • Does NOT provide oil & gas, engineering, technical, legal, financial, or professional services.

  • Does NOT supervise, control, manage, or guarantee any project, deliverable, or outcome.

No partnership, joint venture, fiduciary, agency, employment, or advisory relationship is created by use of the Platform.

4. USER ELIGIBILITY AND ACCOUNTS

Users must be at least 18 years old.

Users are solely responsible for:

  • Accuracy of their profile information

  • Maintaining confidentiality of login credentials

  • All activities conducted under their account

The Platform may suspend or terminate accounts at its sole discretion without notice.

5. MARKETPLACE OPERATIONS & PAYMENTS

  • Employers may post projects.

  • Freelancers may submit one bid per project.

  • Contractual terms are negotiated directly between Users.

  • Payments, escrow, milestones, and releases are governed by Platform procedures.

The Platform is not a party to any contract between Users.

6. CONFIDENTIALITY & NDA DISCLAIMER (CRITICAL)

6.1 No Confidentiality Guarantee by Platform

Users acknowledge and agree that:

  • The Platform does NOT guarantee confidentiality of communications or Content.

  • The Platform does NOT monitor, classify, or review confidential information.

  • Any disclosure of Confidential Information occurs entirely at the User’s own risk.

6.2 NDAs Are Between Users Only

  • Any Non-Disclosure Agreement (NDA) is strictly between Employer and Freelancer.

  • The Platform is NOT a signatory, custodian, or enforcer of any NDA.

  • The Platform bears NO responsibility for breaches of confidentiality between Users.

6.3 Oil & Gas Sensitive Information

Projects may involve highly sensitive information including but not limited to:

  • Reservoir data

  • Field development plans

  • Seismic interpretations

  • Production data

  • Commercial or government-owned data

Users are solely responsible for ensuring they are authorized to disclose such information.

7. DATA SECURITY, DATA LOSS & BACKUPS

While reasonable technical measures may be implemented, the Platform:

  • Does NOT guarantee data security

  • Is NOT responsible for loss, corruption, theft, hacking, or unauthorized access

  • Does NOT guarantee data retention

Users must maintain independent backups of all Content and Deliverables.

8. NO VERIFICATION OR DUE DILIGENCE

The Platform does NOT verify:

  • Professional licenses or certifications

  • Engineering competency

  • Sanctions eligibility

  • Export-control compliance

  • Employer authority over shared data

Users engage at their own risk.

9. REGULATORY, SANCTIONS & EXPORT CONTROL COMPLIANCE

Users are solely responsible for compliance with:

  • UAE laws and regulations

  • International sanctions laws

  • Export control regulations

  • Employer, NOC, or government data policies

The Platform bears NO liability for violations.

10. USER CONTENT & INTELLECTUAL PROPERTY

Users retain ownership of their Content.

By submitting Content, Users grant the Platform a limited, non-exclusive, royalty-free license solely to operate, maintain, and display the Platform.

This license EXCLUDES:

  • Confidential Information

  • Client proprietary data

  • Third-party IP not owned by the User

11. COMMUNICATION SERVICES DISCLAIMER

The Platform may provide messaging and communication tools.

  • Monitoring, if any, is limited and discretionary

  • The Platform is NOT responsible for content exchanged between Users

  • Users are solely responsible for what they share

12. PROHIBITED USE

Users shall not:

  • Violate laws or regulations

  • Infringe IP rights

  • Upload malware or harmful code

  • Misrepresent qualifications

  • Circumvent Platform fees

  • Solicit Users outside the Platform to avoid fees

13. TERMINATION

The Platform may suspend or terminate access at any time without notice.

Termination does NOT affect:

  • Disclaimers

  • Limitation of liability

  • Indemnities

  • Governing law

14. DISCLAIMER OF WARRANTIES

The Platform is provided "AS IS” and "AS AVAILABLE.”

No warranties of:

  • Accuracy

  • Reliability

  • Suitability

  • Availability

  • Results

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Platform shall NOT be liable for:

  • Confidentiality breaches

  • Data loss

  • Project outcomes

  • Financial losses

  • Indirect, incidental, or consequential damages

Total liability, if any, shall not exceed fees paid to the Platform in the preceding 12 months.

16. INDEMNIFICATION

Users agree to indemnify and hold harmless the Platform from all claims arising from:

  • Their use of the Platform

  • Breach of these Terms

  • Confidentiality violations

  • Regulatory or sanctions breaches

17. DISPUTE RESOLUTION & ARBITRATION

All disputes shall be resolved by binding arbitration under:

  • UAE Federal Arbitration Law No. 6 of 2018

  • DIAC Rules

Language: English

Class actions are waived.

18. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of:

  • The Emirate of Dubai

  • The Federal Laws of the UAE

19. ENTIRE AGREEMENT & MODIFICATIONS

These Terms constitute the entire agreement.

The Platform may amend these Terms at any time. Continued use constitutes acceptance.
